If a board member is given a special role as a link or mentor for the Chief of Staff (CoS), this should be documented in the board’s rules of procedure and communicated clearly to the entire organization. According to the Swedish Code for Corporate Governance, the division of labor between the board and management should be transparent and reported in the corporate governance report. It is important to describe the role’s purpose, mandate, and boundaries to avoid ambiguities regarding responsibility and decision-making. The role should be designed so that it complements, rather than replaces, the board’s collective responsibility and the CEO’s operational leadership. Furthermore, any deviations from standard practice should be justified according to the ”follow or explain” principle. Through clear documentation and open communication, the organization can ensure that the role strengthens, rather than weakens, corporate governance and the CoS function.
