Category: Board of Directors

The Companies Act (ABL) only sets basic formal requirements for board members: they must be of legal age, not be in bankruptcy or under administration. There are no requirements for specific education or professional background, which provides great flexibility in selecting individuals with Chief of Staff experience. The nomination committee is free to propose candidates based on the company’s needs for expertise and experience, as long as independence requirements and other formal regulations are followed. This means that CoS profiles can be appointed to the board if they are deemed to bring valuable expertise, particularly in areas such as strategic governance, change management, and cross-functional coordination.
