According to Swedish corporate governance, particularly the Aktiebolagslagen (ABL) and the Swedish Code of Corporate Governance, there are no explicit rules that require or prohibit a board member being appointed as a mentor or liaison person for the Chief of Staff (CoS). The board’s responsibility is collective and includes oversight of the CEO and management (ABL Chapter 8, Section 4), but it is permissible to introduce such a role informally if it is clearly documented in the board’s rules of procedure and communicated openly. This should be done in accordance with the code’s ”follow or explain” principle, where deviations from standard practice are justified and reported in the corporate governance report. A formal mentor or liaison role can be particularly valuable in complex organizations or during major change initiatives, but it is important to avoid unclear allocation of responsibilities between the board and management. The role should be designed so that it supports the CoS without encroaching on the CEO’s operational responsibilities or the board’s collective oversight duty.
